Membership Agreement
Article 1: Parties
This Online Membership Agreement ("Agreement") has been prepared between Bilişim Vadisi A.Ş. (EDUVENCE), which owns all rights to the website with the eduvence.com extension, application and all affiliated platforms (briefly "Platform"), headquartered at Muallimköy Mah. Deniz Cad No:143-5, and the person (briefly "Member") who has recorded their identity and contact information while becoming a member of the Platform. The Member declares that by becoming a member of the Platform, they have read, understood and accepted all provisions of this Agreement.
Article 2: Subject of the Agreement
The purpose of this Agreement is to provide the opportunity to purchase educational programs through the Platform owned by EDUVENCE and to regulate the mutual rights and responsibilities of the parties.
Article 3: Rights of EDUVENCE
- EDUVENCE may monitor and record the Member's activities on the Platform for security purposes and, when necessary, perform operations such as restricting access to the Platform, suspending or canceling membership.
- EDUVENCE may change the design and content structure of the Platform, update the domain name or extension, redirect, or completely stop service provision without prior notice to the Member.
- EDUVENCE reserves the right to change the scope or types of services offered on the Platform, stop or terminate these services. The Member accepts in advance that they will not object to these changes.
- EDUVENCE may make changes to the terms of service or operation to more effectively carry out the transactions specified in the Agreement. The Member accepts that they will act in accordance with these changes.
- This Agreement does not imply that EDUVENCE has made any commitment regarding the sale of services. Therefore, the Member accepts that they cannot claim any rights or receivables from EDUVENCE.
Article 4: Member's Obligations
- Membership is realized by completing the registration steps specified on the Platform. With the membership process, the Member is deemed to have accepted the provisions of this Agreement and the service and membership conditions specified by EDUVENCE.
- The Member declares that the identity, address and contact information provided during membership is accurate and complete. They accept that they will immediately notify EDUVENCE of any changes in the information, otherwise they will be solely responsible for any legal disputes and damages that may arise. EDUVENCE cannot be held responsible for this situation.
- The Member undertakes that while benefiting from the Platform, they will act in accordance with the laws of the Republic of Turkey and general moral rules, refrain from acts such as insult, threat, slander, and will not engage in behaviors that disturb other users.
- The Member accepts that they will not violate the intellectual property rights of third parties and will respect their trade secrets and private lives.
- The Member declares that they are solely responsible for the security of their username and password information, and that EDUVENCE is not responsible for damages that may arise from sharing this information with others.
- The Member undertakes to refrain from fraudulent behavior and attempts to damage the Platform's security mechanism. They are responsible for any damages that may occur otherwise.
- The Member accepts that they will only use their own account, will not use other users' account information, and will not allow others to use their own account. If such a violation is detected, EDUVENCE may cancel the membership.
- The Member undertakes not to upload harmful software, code or material to the Platform and to refrain from behaviors that would endanger the security of the Platform.
- The membership account cannot be transferred to a third party or allowed to be used by others.
- The Member accepts that EDUVENCE is not responsible for disputes that may arise during the educational programs purchased through the Platform. EDUVENCE's responsibility is limited to ensuring the completion of the program.
Article 5: Payment Conditions
- The Member can only make program fee payments on the Platform through online payment methods. Different methods may be determined for corporate sales.
- The Member accepts that services will not be provided to them unless they fully pay for the educational programs.
- During online payment, the Member is responsible for the accuracy of the payment information provided, and in case of illegal use of this information, the provisions of the Bank Cards and Credit Cards Law will apply.
- The Member accepts that in annual subscriptions, unless otherwise stated, the subscription will be automatically renewed and collection will be made from the payment information.
Article 6: Protection of Personal Data and Electronic Communications
- EDUVENCE collects, stores and processes the Member's personal data such as name-surname, address, phone and payment information in accordance with relevant laws.
- EDUVENCE takes necessary measures to ensure the confidentiality of personal information. However, when this information is made publicly accessible by the Member, EDUVENCE does not accept any responsibility for the illegal use of personal information made publicly accessible.
- In case of damage to information or falling into the hands of unauthorized persons due to system attacks or technical failures, EDUVENCE accepts responsibility only to the extent of its fault.
- The Member's personal information can only be shared in accordance with legal requirements or requests from relevant public authorities.
Article 7: Service Delivery and Refund
- The Member accepts that the educational programs purchased will be provided through the Platform or in a different digital environment specified by EDUVENCE.
- Refund for paid programs can only be made if the Member cannot receive the relevant education due to disruptions caused by EDUVENCE. The Member accepts that if they have started watching the course content, they cannot exercise their right of withdrawal in accordance with the Distance Contracts Regulation. If the performance of the service has begun, the right of withdrawal cannot be exercised.
Article 8: Intellectual Property Rights
- The design, content, software, trademarks and all other intellectual property elements of the Platform are protected by the laws of the Republic of Turkey. The Member undertakes not to reproduce, publish, process or use this content in any other way without EDUVENCE's written permission.
- All commercial rights of EDUVENCE, all property rights over the platform design, software and trademarks are reserved.
- The Member accepts that they will not copy, share or present to the public any content on the Platform without permission.
- The Member accepts that while using the Platform, they will act in accordance with the current intellectual property and commercial legislation provisions, and that all legal, administrative and financial responsibilities arising from any contrary use will belong entirely to them.
Article 9: Liability
- The Member accepts that technical failures, communication problems or interruptions caused by internet infrastructure may occur in accessing the services offered on the Platform. In such cases, EDUVENCE reserves the right to stop or cancel the service.
- EDUVENCE does not guarantee that the Platform will operate without interruption or that it will be completely free from viruses and other harmful software.
- EDUVENCE cannot be held responsible for direct or indirect damages suffered by the Member, except for gross negligence or intentional behavior.
- The Member accepts that the Platform is a resource provided for personal development purposes and that the services do not guarantee reaching a specific result.
Article 10: Membership Cancellation and Termination of Agreement
- If the Member acts contrary to this Agreement, EDUVENCE may cancel the membership and stop access to services without any notification and without giving any reason.
- Either party may terminate this Agreement without giving any reason. In this case, the Member cannot claim any rights, compensation or payment from EDUVENCE due to termination.
- In case of termination of membership for any reason, the Member's orders and services that have not been completed until the time of termination will continue to be subject to the provisions of this Agreement.
Article 11: Agreement Duration
This Agreement enters into force at the moment it is approved on the Platform and automatically terminates with the cancellation of membership or termination of services offered on the Platform.
Article 12: Miscellaneous Provisions
- The Member accepts that all notifications such as changes to be made to the Agreement, cancellation or termination of membership will be made to the e-mail address specified during membership and that these notifications will be deemed valid at the moment they are sent.
- The invalidation of any article of this Agreement does not affect the validity of other provisions.
- EDUVENCE's failure to exercise or delay in exercising its rights under the Agreement does not mean that it has waived these rights.
- Gebze Courts and Enforcement Offices are authorized for the resolution of disputes arising from the Agreement.
